Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Boh Technologies, Inc. (“Boh”, “we”, “us”, or “our”), governing your access to and use of boh.ai (the “Site”). By accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

We reserve the right to modify these Terms at any time. Changes will be indicated by updating the “Last updated” date. Continued use of the Site after changes constitutes acceptance of the revised Terms.

The Site is intended for users who are at least 18 years old.

Services

Boh is a kitchen maintenance coordination platform. We connect restaurant operators with vetted, pre-screened service providers for on-demand repairs and scheduled maintenance services. Boh is not a repair company and does not employ technicians directly.

Service availability, pricing, and scheduling are subject to change. We reserve the right to modify or discontinue any service offering at any time without notice.

Purchases and Payment

The following payment methods are accepted: Visa, Mastercard, American Express, Discover, and other methods supported by Stripe.

By completing a service booking, you authorize Boh to charge your chosen payment method for the amount shown at checkout. All payments are in U.S. dollars. We may change prices at any time. Sales tax will be added where required by applicable law.

You agree to provide accurate and complete billing information. If your payment method fails, we reserve the right to cancel your booking.

Cancellation Policy

Cancellation terms are communicated at the time of booking and may vary by service type and scheduling window. We reserve the right to charge a cancellation fee for bookings cancelled within a short window of the scheduled service time. Full cancellation terms are presented during the booking flow.

Refund Policy

In the event of a transaction dispute regarding any service, we will attempt to mediate between you and the service provider. Upon approval, refunds will be issued within 15 days.

Intellectual Property

All content on the Site - including text, graphics, logos, and software - is the property of Boh Technologies, Inc. and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any content from the Site without our express written permission.

User Representations

By using the Site, you represent that: (1) the information you submit is accurate and complete; (2) you have the legal capacity to agree to these Terms; (3) you are not a minor; (4) you will not use the Site for any unlawful purpose; and (5) you will not attempt to access the Site through automated or non-human means.

Prohibited Activities

You agree not to: systematically scrape or harvest data from the Site; attempt to gain unauthorized access to any part of the Site or its systems; use the Site to transmit spam or malicious code; impersonate any person or entity; use the Site in any way that violates applicable law; or use the Site to compete with Boh or for unauthorized commercial purposes.

SMS Communications

By providing your phone number on the Site, you consent to receive SMS messages from Boh related to your inquiry, booking, or services. You may opt out at any time by replying “STOP” or contacting hello@boh.ai. Standard messaging and data rates may apply. We comply with applicable regulations including 10DLC requirements in the United States.

Mobile Application

If you access Boh services via our mobile application, you are granted a limited, non-exclusive, non-transferable license to install and use the application on devices you own or control, solely for your personal, non-commercial use. You shall not decompile, reverse engineer, or create derivative works from the application.

Third-Party Services

The Site integrates with third-party services including Stripe for payment processing and Calendly for appointment booking. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

Disclaimer

The Site and its content are provided “as is” without warranties of any kind, express or implied. We make no representations regarding the accuracy or completeness of any content on the Site. We do not warrant that the Site will be available at all times or free of errors.

Limitation of Liability

To the fullest extent permitted by law, Boh Technologies, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Our total liability to you for any claim shall not exceed the amount paid by you to us in the six months preceding the claim.

Certain U.S. state laws do not allow limitations on implied warranties or the exclusion of certain damages. If these laws apply to you, some of the above limitations may not apply.

Indemnification

You agree to defend, indemnify, and hold harmless Boh Technologies, Inc. and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Site, your service bookings, or your violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.

Dispute Resolution

Before initiating formal proceedings, the parties agree to attempt informal resolution for at least 30 days via written notice. Disputes that cannot be resolved informally shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in Los Angeles County, California. Class action arbitration is not permitted. Disputes involving intellectual property rights, theft, or requests for injunctive relief are excluded from arbitration.

Modifications and Interruptions

We reserve the right to modify, suspend, or discontinue the Site at any time without notice. We are not liable for any loss resulting from downtime or interruption of service.

Copyright Infringement

If you believe any content on the Site infringes your copyright, please contact us in writing at hello@boh.ai with details of the alleged infringement. You may be held liable for damages if you make material misrepresentations in a copyright notice.

Electronic Communications

By using the Site, you consent to receive electronic communications from us. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.

California Users

Miscellaneous

These Terms constitute the entire agreement between you and Boh regarding the Site. Our failure to enforce any provision shall not constitute a waiver. If any provision is found unenforceable, the remaining provisions remain in full force. There is no joint venture, partnership, or agency relationship created between you and Boh by these Terms.
